we understand shareholders approved the Scheme of Arrangement under which Aveng acquired all of the shares in McConnell Dowell for A$1.54 cash per share (plus a dividend of 10 cents) and purchased outstanding options at 20 cents cash per option - South Africa's Aveng had bought its controlling 63% interest in 1999 for A$3.20 a share from a distressed seller	19/08/2003
